These Terms of Use (the "Terms") are a legal agreement between you and Nyxwatch ("Nyxwatch", "we", "our", or "us") governing your access to and use of our website, applications, services, and related products (collectively, the "Services"). Please read them carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

01 Acceptance of Terms

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

02 The Service

Nyxwatch is an intelligence and investigation workspace for collecting, connecting, verifying, and exporting publicly available information. The Services help you capture evidence, organize findings, and produce reproducible reports, and may include automated features that propose possible connections for your review.

We may add, change, or remove features at any time. We may also set limits on usage, storage, or access, and may restrict availability of the Services in certain regions.

03 Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into these Terms. You may not use the Services if you are barred from doing so under applicable law or sanctions.

You are responsible for the accuracy of the information you provide, for keeping your account credentials confidential, and for all activity that occurs under your account. Notify us promptly at contact@nyxwatch.com if you suspect any unauthorized use.

04 Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You must not:

Use the Services to harass, stalk, threaten, intimidate, or otherwise harm any person;
Conduct unlawful surveillance, or violate any person's privacy, data-protection, or other rights;
Collect, expose, or distribute information to facilitate discrimination, doxxing, or harm;
Access data sources in violation of their terms or of applicable law, or circumvent access controls or technical protections;
Upload malware or interfere with the security, integrity, or availability of the Services;
Reverse engineer, copy, resell, or sublicense the Services except as expressly permitted by law;
Use the Services in any way that infringes the intellectual-property or other rights of others.

05 Responsible Investigation and Legal Compliance

Nyxwatch is a tool. You are solely responsible for ensuring that your investigations — and your collection and use of any information through the Services — comply with all laws that apply to you, including data-protection, privacy, surveillance, and journalistic-ethics requirements in the relevant jurisdictions.

You decide what to investigate and how the results are used. Ensuring that use is lawful and ethical is your responsibility, not ours. We do not provide legal advice, and nothing in the Services is a substitute for it.

06 Your Content and Data

You retain all rights to the content, data, and materials you upload or create in the Services ("Your Content"). You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Services to you.

You represent and warrant that you have the rights necessary to upload Your Content and that doing so does not violate any law or any third party's rights.

07 AI and Automated Features

The Services may use automated and AI-assisted features that propose possible connections, summaries, or leads. These outputs are suggestions only. They may be incomplete or inaccurate and must be independently verified before you rely on them.

Nyxwatch proposes; you confirm. Automated output is not professional, legal, or factual advice, and it never replaces your own verification and judgment. Final decisions and conclusions are yours.

08 Third-Party Sources and Services

The Services surface information from publicly available, third-party sources and may integrate third-party services. We do not own or control those sources or services, and we do not guarantee the accuracy, legality, completeness, or availability of information obtained through them.

Your use of any third-party service is governed by that party's own terms and policies.

09 Intellectual Property

The Services — including all software, design, text, graphics, and trademarks — are owned by Nyxwatch or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

No rights are granted to you in our intellectual property except as expressly stated in these Terms.

10 Plans, Early Access, and Fees

Some features may be offered free of charge, including during early-access periods, and may change or end at any time. Paid plans, where offered, are billed as described at the point of purchase.

We may change pricing on a prospective basis with reasonable notice. Except where required by law, fees are non-refundable.

11 Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Services, you acknowledge that processing.

12 Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any information obtained through them is accurate or complete.

13 Limitation of Liability

To the maximum extent permitted by law, Nyxwatch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Services.

To the extent liability cannot be excluded, our total liability is limited to the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

14 Indemnification

You agree to indemnify and hold harmless Nyxwatch and its officers, employees, and partners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

15 Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or applicable law, or where necessary to protect the Services or other users.

On termination, your right to use the Services ends. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

16 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms with a new "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17 Governing Law
